1.4. “Recruiter Client” refers to a person using the Pyranex website and information to recruit Clients to become their employees or consultants OR become employees or consultants of a third-party;

1.5. “Person” means any individual, general partnership, limited partnership, corporation, incorporated company, joint venture, trust, business trust, cooperative or association, or any other legal entity;

1.6. “We”, “Us”, “Our”, and “Pyranex” are references to Pyranex HQ Limited;

1.7. “Service” or “Services” is a reference to any service which we may supply and which you may request via our website;

1.8. “Website” is a reference to our Website https://www.forthcm.com or any other platform we will choose to offer our Services.

2. Section 2: Terms for Clients of Pyranex Website

2.1. By registering with or using the Pyranex website, you become a Client of Pyranex.

2.2. The Client agrees to take particular care when providing us with your details and warrants that these details are accurate and complete at the time of providing same.

2.3. The Client agrees in using the website, to comply with Pyranex policies as well as all applicable laws including, without limitation, privacy laws, intellectual property laws, tax laws, and regulatory requirements.

2.4. The Client agrees not to create a false identity on the Website, misrepresent your identity, create a profile for anyone other than yourself or use or attempt to use another’s account.

2.5. The Client may only view the website content online on the Website and shall not violate the intellectual property or other rights of Pyranex by, including, without limitation copying or distributing any of our website content, materials or unauthorized use of Our business name, brand, trademark, service mark, graphics or logo.

2.6. Following from the above, the Client shall not develop, support or use software, devices, scripts, or any other means or processes to scrape or otherwise copy profiles, information, services and other data from the Website.

2.7. The Client agrees not to disclose information that you do not have the consent to disclose (such as confidential information of others e.g., your employer).

2.8. In using the website and services, the Client agrees not to violate the intellectual property rights of any third-party, including copyrights, patents, trademarks, trade secrets or other proprietary rights.

2.9. The Client shall not reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code or any related technology for the Website and its Services.

2.10. The Client shall not imply or state that you are affiliated with or endorsed by Pyranex without our express written consent.

2.11. The Client shall use the Website and Services in a professional manner.

2.12. The Client indemnifies and will keep indemnified Pyranex, its officers, employees, and agents against all claims, actions, suits, liabilities, actual or contingent costs, damages, and expenses incurred by Pyranex in connection with:

  1. Any breach of these Terms by you;
  2. Any negligent act or omission by you;
  3. Any posting by you on the Website or;
  4. An actual or alleged breach by you of any law, legislation, regulations, or codes of conduct which occurs as a consequence of your posting or information you provided appearing on the Website.

3. Section 3: Terms for Recruiter Clients of Pyranex Website

3.1. The Recruiter Client agrees to using the website, to comply with Pyranex policies as well as all applicable laws including, without limitation, privacy laws, intellectual property laws, tax laws, and regulatory requirements.

3.2. The Recruiter Client shall use information about Pyranex Clients only to recruit individuals to become its employees and consultants OR employees and consultants of a disclosed third-party.

3.3. The Recruiter Client acknowledges and agrees that Pyranex may update and change its policies at any time without notice.

3.4. The Recruiter Client is responsible for all postings and content posted on the Website including but not limited to the job descriptions, trademarks, images and URLs that comprise the postings or content thereof.

3.5. In order to post any information/service/opportunity related to a third-party entity, the Recruiter Client must have an active contract in place with such third-party entity and will provide any additional information required to verify the contractual relationship and permission to post such jobs/information.

3.6. The Recruiter Client agrees that it will not, and will not enable or authorize any third party:

  1. Provide Pyranex Clients application data to other parties.
  2. Contact Pyranex Clients for purposes other than related to the specific service/opportunity described in the posting on the Website.
  3. Harass or contact any Pyranex Clients after they have asked not to be contacted or
  4. Except as expressly authorized by Pyranex in writing, use any automated means or form of scraping or data extraction to access, modify, download, query or otherwise collect information from Pyranex’s websites.

3.7. Each posting must be for a service/job opportunity. The Recruiter Client will not copy, duplicate, replicate or otherwise reproduce jobs from another company’s/website (“third-party company/website”) and upload them to Pyranex Website without authorization from the third-party company/website.

3.8. Where a third-party company/website informs Pyranex that the Recruiter Client has done such acts as above without the third-party company/website prior knowledge and authorization, We reserves the right to remove such Postings immediately and without prior notice to you.

3.9. The Recruiter Client may only view the website content online on the Website and shall not violate the intellectual property or other rights of Pyranex by, including, without limitation copying or distributing any of our website content, materials or unauthorized use of Our business name, brand, trademark, service mark, graphics or logo.

3.10. Following from the above, the Recruiter Client shall not develop, support or use software, devices, scripts, or any other means or processes to scrape or otherwise copy profiles, information, services and other data from the Website.

3.11. The Recruiter Client agrees not to override any security feature or bypass or circumvent any access controls on the Website.

3.12. The Recruiter Client agrees not to disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer)

3.13. The Recruiter Client shall not reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code or any related technology for the Website and its Services.

3.14. The Recruiter Client shall not imply or state that you are affiliated with or endorsed by Pyranex without our express written consent.

3.15. The Recruiter Client shall use the Website and Services in a professional manner.

3.16. The Recruiter Client indemnifies and will keep indemnified Pyranex, its officers, employees, and agents against all claims, actions, suits, liabilities, actual or contingent costs, damages, and expenses incurred by Pyranex in connection with:

  1. v. Any breach of these Terms by you;
  2. vi. Any negligent act or omission by you;
  3. vii. Any posting by you on the Website or;
  4. viii. An actual or alleged breach by you of any law, legislation, regulations, or codes of conduct which occurs as a consequence of your posting or information you provided appearing on the Website.

4. Section 4: Governing Law and Dispute Resolution

4.1. In the unlikely event there is a legal dispute between Pyranex and You (the Client and Recruiter Client), You agree that the Laws of Nigeria shall exclusively govern any dispute relating to the Service(s).

4.2. You and Pyranex agree to the following procedure to resolve disputes:

4.2.1. Once a dispute arises, You and Pyranex agree to attempt to resolve it informally for at least 90 days. In the event that You and Pyranex are unable to reach a resolution on the dispute, You and Pyranex agree that all claims and disputes shall be litigated in the court of competent jurisdiction in Lagos State, Nigeria.

5. Links to Third-Party Websites

5.1. Pyranex shall have the right to update, amend, modify these Terms from time to time at its discretion.

5.2. By using the Pyranex website, Clients and Recruiter Clients agree to be bound by the terms stated herein.

5.3. Clients and Recruiter Clients may not assign any of the rights or obligations under the Agreement either in whole or in part.

5.4. Pyranex and its affiliates make no representation or warranty about the services, including any representation that the Website services will be uninterrupted or error-free and provide the services (including content and information) on an “as is” and “as available” basis. To the fullest extent permitted under applicable law, Pyranex and its affiliates disclaim any implied or statutory warranty, including any implied warranty of title, accuracy of data, non-infringement, merchantability or fitness for a particular purpose.

5.5. To the fullest extent permitted by law (and unless Pyranex has entered into a separate written agreement that overrides this terms and conditions), Pyranex, including its affiliates, will not be liable in connection with the use of the website for lost profits or lost business opportunities, reputation, loss of data or any indirect, incidental, consequential, special or punitive damages.

5.6. This Agreement and any rights or claims arising out of or in connection shall be governed exclusively by the laws of the Federal Republic of Nigeria.
